Enter The Copa Challenge for a chance to win one of several Prizes. The Grand Prize winner will receive a cash prize in the amount of US$10,000.00 plus a year-long Sponsorship by Copa Freestyle, Inc. in its global mobile applications market.

1. WHO MAY ENTER: Subject to the terms of these official rules (“Official Rules”), Copa Freestyle’s The Copa Challenge is open to anyone who are at least thirteen (13) years of age

on or before July 1, 2010, and whose video and/or picture has been approved and uploaded to the Contest web page at www.copachallenge.com (“Entrant”). (Registration is free and is further described below). Employees or consultants of Copa Freestyle, Inc. or affiliated companies or any entity connected with the development, implementation or marketing of this Contest and the immediate family (spouse, parents, siblings and children) or household members of each such employee and/or consultants are not eligible to enter or to vote on entries. The Contest is void in all US and International Territories where prohibited by law.

2. OFFICIAL RULES: Participation in the Contest constitutes an Entrant’s full and unconditional agreement to abide by these Official Rules and by Copa Freestyle’s (‘Contest Manager’) decisions relating to the Contest. The decisions of the Contest Manager in regards to all matters pertaining to this Contest are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein. Official Rules are subject to change. Entrants should review the Official Rules on a regular basis.

3. CONTEST DATES: The Contest begins on January 3, 2011 at approximately 12:00 a.m. EST and ends on May 31, 2011 July 4, 2011 at approximately 11:59 p.m. EST (the “Contest Period”). Contest Manager may, it its sole discretion, extend the contest dates at any time prior to the currently published end date.

4. RULES OF ENTRY: Entry is free. To access the Contest, visit  www.copachallenge.com. Starting at 12:00 a.m. Eastern Standard Time (“EST”) on January 3, 2011 an Entrant may submit/upload an original video and/or a picture of the Entrant’s representation of a freestyle soccer routine. Entrant may use excerpt of a song of his or her own choosing or any other type of sound and/or music beat. All videos and/or pictures must be registered and approved for upload to the Contest web page on or before 11:59 p.m. EST on May 31, 2011. July 4, 2011 Any entry received after the Contest Period has expired will be deemed an ineligible entry and will not be entered into the Contest.

  1. Entries. Entrants are not limited to one (1) entry; however, each video/and or picture submitted/uploaded will be reviewed and Contest Manager will decide in its sole and absolute discretion whether a video and/or picture is suitable for inclusion in the Contest. Contest Manager will notify an entrant if a video and/or picture is not selected and such Entrant will be eligible to re-submit the video and/or picture with changes within the submission deadlines set forth above. Each video and/or picture registered and approved for upload will be published on the Contest web page at www.copachallenge.com
    1. Videos must be less than 100MB and be submitted in one of the following video formats: AVI, MOV, WMV, MP4, MPEG, FLV, 3GP, and 3G2.
    2. Your routine must be no more than 60 seconds long.
    3. You must include the name of the song and artist of any accompanying music on your video.
    4. Void. Entry materials/data that have been tampered with or altered shall be void.
    5. Authority. By submitting a video and/or picture, Entrant represents that he or she has the requisite authority to use any copyrighted information that may be on the entry and the permission to film and/or photograph any persons whose image is on the entry.
    6. Change of Email Address. It is Entrant’s sole responsibility to notify Contest Manager of a change in Entrant’s e-mail address changes. To do so, email Contest Manager at copachallenge@copatv.com
    7. Entry Errors.

i.        Contest Manager shall not be responsible for lost, late, incomplete, damaged, stolen, invalid, unintelligible or misdirected entries, which will be disqualified.

ii.        Contest Manager shall not be responsible for any unavailability of or interruptions to any service or equipment used in connection with the Contest, including without limitation (1) interruptions to any network, server, Internet, website, telephone, satellite, computer or other connections (2) failures of any telephone, satellite, hardware, software or other equipment, (3) garbled, misdirected or jumbled transmissions, or traffic congestion, or (4) other errors of any kind, whether human, technical, mechanical or electronic, or (5) the incorrect or inaccurate capture of entry or other information or the failure to capture any such information.

  1. No Return of Entries; Disputes. Once submitted, entries become the sole property of Contest Manager and will not be acknowledged or returned. In the event of a dispute as to any entry, entry will be awarded to the person named on the applicable entry page. Potential winners may be required to show proof of identification.

5. JUDGES: Each month during the Contest Period, a panel of judges selected by Contest Manager will select their recommendations and each judge will list up to ten (10) videos and/or pictures they recommend as their favorites in each category. The judging criteria will be subjective to each of the judges own area of expertise including but not limited to freestyle techniques, performance, soccer skills, creativity, production quality and future marketability. However, the final selection of the winners including the Grand Prize winner will be done by popular vote, which selection, once verified, will be considered final.

6. VOTING FOR THE GRAND PRIZE WINNER: During the Contest Period, site visitors may vote once per day for the Grand Prize winner. The Entrant who accumulates the most votes during the Contest Period will be named the Grand Prize winner. The Grand Prize winner will receive the amount of US$10,000.00. In the event that two (2) or more Entrants receive the same number of votes, the winner will be selected from among the finalists by random drawing. For avoidance of doubt, one (1) Grand Prize will be awarded for the Contest. The use of any automated system (e.g., robots, automatic, macro, programmed or like entry methods) for any reason associated with the Contest, i.e. entering or voting, is prohibited. Any attempt by any Entrant to use an automated system or to obtain more than one (1) entry by using multiple/different email addresses, identities or any other methods, will void all of that Entrant’s entries, and render that Entrant ineligible to receive any of the Contest prizes. The Grand Prize winner will be announced on July 1, 2011, subject to completion of an Affidavit of Eligibility and such other forms as Contest Manager may reasonably require.

7. WINNER NOTIFICATION: Each winner will be notified via email (or overnight mail) sent within thirty (30) days following the end of the Contest Period. Each Entrant is responsible for insuring that all mailing and e-mail information provided to Contest Manager is up-to-date and accurate.

8. VERIFICATION OF PRIZE WINNERS:

  1. Pre-Verification. In addition to the verification procedures set forth below, an Entrant may be subject to “pre-verification” by Contest Manager. Contest Manager may contact an Entrant via onscreen pop-up notification and/or email sent to the email address with which Entrant registered, seeking pre-verification of an Entrant’s eligibility, and requesting contact information or other information from such Entrant
    1. Verification: Each prize winner shall be subject to verification by Contest Manager, whose decisions regarding eligibility shall be final. Contest Manager shall solely determine the proper form of verification. An Entrant shall not be declared the winner of any prize unless and until Entrant’s eligibility has been verified and Entrant has been notified that verification is complete. Contest Manager will not accept screen shots, affidavits or other evidence of winning in lieu of its verification process.
    2. Disqualification. An Entrant will be disqualified if the Entrant: (i) does not comply with these Official Rules (or is otherwise determined to be ineligible for the Contest), or (ii) does not respond to the prize notice within ten (10) days following its transmission (or receipt, if mailed) or if the emailed prize notice is returned as undeliverable after three (3) attempts by Contest Manager. If Contest Manager notifies, or seeks to deliver a prize to or otherwise attempts to contact an alternate potential winner, and such alternate potential winner is subsequently disqualified then Contest Manager shall use its reasonable business judgment to determine, in its sole discretion, the disposition of the prizes (e.g., may choose another alternate potential winner in a manner consistent with these rules or donate the prize to another entity, at its sole discretion).

8. PRIZE RESTRICTIONS: No assignment, transfer, or substitution of a prize is permitted, except Contest Manager reserves the right to substitute a prize if the prize is not legally permitted or awardable in the prizewinner’s region or area of residence. Contest Manager make no warranties and hereby disclaim any and all warranties, express or implied, concerning any prize furnished or made available in connection with the Contest.

9. WINNER’S OBLIGATIONS:

  1. Taxes. Each winner is solely responsible for the reporting and payment of any tax liabilities incurred.
    1. Affidavits and other Documents. As a condition of receiving a prize, an Entrant will be required to complete, sign and return an Affidavit of Eligibility, a Liability Release, an acknowledgement that they have the authority from all persons in their video to use them in the video, and, except where prohibited, a Publicity Release, within fifteen (15) days of the date stated on the prize notice.
    2. Publicity. Except where prohibited, participation in this Contest constitutes each Entrant’s (and in particular, each Entrant who wins a prizewinner) consent to allow Contest Manager and/or its agents and employees the right to use the Entrant’s name, likeness, voice, opinions and biographical information for publicity, advertising, trade or promotional purposes in any media or manner, now known or hereafter devised, worldwide, without further payment, consideration, notice or approval.

10. CONDITIONS OF PARTICIPATION: Although Contest Manager will attempt to ensure the integrity of the Contest, Contest Manager is not responsible for the actions of Entrants or other individuals in connection with the Contest, including Entrants or other individuals who attempt circumvent the Official Rules or otherwise interfere with the administration, security, fairness, integrity or proper conduct of the Contest. Contest Manager is not responsible for injury or damage to an Entrant’s or to any other person’s computer(s), other equipment, or person(s), related to or resulting from participation in the Contest.

  1. Conduct. Contest Manager reserves the right in its sole and absolute discretion, to modify, cancel, terminate, and/or suspend the Contest and to disqualify any individual who tampers with the entry process, violates these Official Rules, or acts in a disruptive or unsportsmanlike manner. Without limiting the foregoing, Contest Manager may lock out an Entrant who, in Contest Manager’s sole judgment, has been disqualified, has questionable eligibility or is otherwise ineligible to enter. A PERSON WHO ATTEMPTS DELIBERATELY TO UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST OR TO ALTER OR DAMAGE A WEBSITE MAY BE SUBJECT TO CIVIL AND/OR CRIMINAL PENALTIES AND FINES; AND CONTEST MANAGER RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
    1. Incidents. Without limiting the foregoing, Contest Manager may modify, cancel, terminate, and/or suspend the Contest if, in the Contest Manager’s sole and absolute opinion, an incident of any kind occurs to corrupt or impair the administration, security, integrity, fairness or play (as intended) of the Contest, including without limitation: (a) viruses, bugs, unauthorized human intervention, fraud or technical failure; or (b) earthquake, flood, fire, storm or other natural disaster, act of God ; or (c) labor controversy or threat thereof, civil disturbance or commotion, disruption of the public markets, war or armed conflict (whether or not officially declared).
    2. Cancellation. In the event of a cancellation or termination, the prize may be awarded in any manner deemed fair and appropriate by Contest Manager.

11. RELEASE AND INDEMNIFICATION: By participating in this Contest or receiving a prize, an Entrant agrees to release and to indemnify and hold harmless Contest Manager, its parent and affiliated companies, and each of its or their respective officers, directors, employees and agents (collectively, the “Released Parties”) from any claim, actions, rights, liability, injury, death, loss or damages to Entrant or any other person or entity, including without limitation, damage to personal or real property, caused in whole or in part, directly or indirectly, by participation in this Contest (or related activities), the use of the video in this Contest, or the acceptance, possession or use/misuse of a prize (including any travel or activity related to the prize). This release shall include, but shall not be limited to, actions arising out of any claim of copyright or trademark infringement made as a result of content in an entry. Entrant, by submitting a video and/or pictures for consideration in the contest, also asserts that Entrant has the authority to use the name, likeness, voice and opinions of any individual who participates in the video and/or picture and grants to the Released Parties permission to upload the video onto the Contest web site and unlimited usage of the video and/or picture for publicity, advertising, trade or promotional purposes in any media or manner, now known or hereafter devised, worldwide, without further payment, consideration, notice or approval.

12. LIMITATIONS OF LIABILITY: The Released Parties shall not be responsible for: (1) any incorrect or inaccurate information, whether caused by an Entrant, a printing error or by any of the equipment, hardware, software or programming associated or used with the Contest; (2) technical errors, defects, delays or failures of any kind, including without limitation malfunctions, interruptions or disconnections in communications lines, Internet or website access, hardware or software; (3) digital or electronic disruptions, e.g., viruses other security breaches; (4) unauthorized human intervention, e.g., hacking; (5) technical or human error which may occur in connection with any aspect of the Contest; (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from an Entrant’s participation in the Contest, and (7) any unauthorized access to, copying or downloading materials from any other website, or receipt or use of any prize. IN NO EVENT WILL ANY OF THE RELEASED PARTIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING WITHOUT LIMITATION DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, ARISING OUT OF ANY ACCEPTANCE, POSSESSION, USE OR MISUSE OF, OF PARTICIPATION IN, THE PRIZES AWARDED IN CONNECTION WITH THE CONTEST.

13. DISPUTES/CHOICE OF LAW: Each Entrant agrees that any and all disputes, claims or causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by state or federal courts situated in the city of Los Angeles, California, USA without reference to its choice of law rules, governs the Contest and all aspects related thereto, and each Entrant expressly waives any other forum that they may be entitled to in light of their current or future domiciles.
